Vendor Terms and Agreement

This Vendor Terms and Agreement (“Agreement”) governs the relationship between The Vegan America Marketplace (“Company,” “we,” “our”) and each vendor (“Vendor,” “you,” “your”) who lists products for sale on our platform (“Marketplace”). By registering as a Vendor, you agree to be bound by the terms set forth below.

1. Commission and Payment Processing

1.1 Commission Rate. The Company will retain a commission of 15% on the total sale price (excluding shipping and taxes) of each product sold through the Marketplace, unless expressly stated otherwise in writing.
1.2 Payment Processing. In addition to the commission, Vendors are responsible for standard Shopify payment processing fees (currently 2.9% + $0.30 per transaction, subject to Shopify’s policies).
1.3 Payouts. Net proceeds (after commission and payment processing fees) will be disbursed to the Vendor in accordance with Shopify’s standard payout schedule.

2. Product Standards

2.1 Animal-Free Products. All products listed by Vendors must be free from animal-derived ingredients or components.
2.2 No Animal Testing. Vendors represent and warrant that no listed products have been tested on animals at any stage of production.
2.3 Compliance. The Company reserves the right to remove any products found to be non-compliant with these standards, and repeated violations may result in termination of Vendor’s account.

3. Vendor Responsibilities

3.1 Vendors are solely responsible for the accuracy of product descriptions, pricing, images, and inventory levels.
3.2 Vendors must comply with all applicable laws and regulations, including labeling and consumer protection laws.
3.3 Vendors agree to honor all customer orders placed through the Marketplace and to fulfill them in a timely manner.

4. Intellectual Property

4.1 Vendors retain ownership of their trademarks, logos, and content but grant the Company a limited license to display such materials on the Marketplace for the purpose of promoting and selling their products.

5. Termination

5.1 The Company may suspend or terminate Vendor’s access to the Marketplace for breach of this Agreement or any applicable policies.
5.2 Vendors may terminate participation at any time by providing written notice, provided all outstanding orders have been fulfilled.

6. Limitation of Liability

The Company is not responsible for any indirect, incidental, or consequential damages arising from Vendor’s participation in the Marketplace.

7. Governing Law

This Agreement shall be governed by and construed under the laws of the State of California, without regard to conflict of laws principles.
